Short answer

Contract review should cover the work’s scope, delivery criteria, representative authority and termination terms as well as price. A heading or signature page does not explain the obligations throughout the whole document.

What exactly is “the work”?

If a service contract does not clearly define the work, parties may sign the same text expecting different outcomes. Deliverables, acceptance criteria and excluded items should be understandable. Check whether technical proposals are attached to the contract.

A detail discussed in negotiations may later turn out to be absent from the signed text. Read attachments, amendments and provisions setting priority between documents together. Keeping only the principal text may not document the entire relationship.

Are the signatory and payment recipient correct?

In a company transaction, the signatory’s capacity matters. The trading name, party details and representative authority require checking independently of commercial terms. If payment to a third party is requested, its basis should be clarified.

Where payment milestones depend on delivery, identify how the conditions will be met. “On completion” may create different expectations if completion has no defined measure.

Think about the day the relationship goes wrong

The notices needed and how ongoing work will be settled matter if performance is late, incomplete or terminated. A penalty clause does not operate identically in every situation merely because it appears in the text. Statutory form and validity requirements need separate consideration.

Do not postpone a clause that cannot be explained before signing. The aim is not the longest possible document, but a clear account of what the parties actually accept and which risks they assume.

Frequently asked questions

Does the contract heading determine the applicable rules?

Not by itself. The transaction’s actual content and the parties’ obligations are assessed.

Is every signature on a company’s behalf sufficient?

The signatory’s authority and its scope must be checked.
